Position Overview
As General Counsel, you will serve as the firm’s chief legal officer and strategic advisor, working closely with our leadership team to manage all legal aspects of our business. This role requires both deep legal expertise and business acumen to navigate complex transactions, ensure compliance, and mitigate risks while supporting our growth initiatives including having experience forming funds, writing private placements, evaluating and approving subscription agreements from limited partners, and managing the overall lifecycle of multiple funds managed by our firm.
Key Responsibilities
- Legal Strategy & Counsel: Provide expert legal advice to the executive team on private equity transactions, corporate governance, compliance, and risk management.
- Deal Execution: Oversee legal aspects of secondary market transactions, including due diligence, contract negotiation, and deal structuring.
- Regulatory Compliance: Ensure compliance with securities laws, corporate governance standards, and other regulatory requirements for the firm.
- Risk Management: Identify potential legal risks and develop strategies to mitigate them proactively.
- Corporate Governance: Serve as corporate secretary, advising on governance matters and supporting board activities.
- External Counsel Management: Coordinate with external law firms to ensure efficient use of resources while maintaining cost control.
- Policy Development: Establish internal legal policies and procedures to support scalable growth.
Qualifications
- Juris Doctor (JD) from an accredited law school; active membership in good standing with the California Bar (or ability to register as in-house counsel).
- Minimum 8–10 years of experience in private equity, M&A, securities law, or related fields; a mix of law firm and in-house experience is preferred.
- Proven track record of managing complex transactions and providing strategic counsel at the executive level.
- Strong understanding of corporate governance principles and IPO processes.
- Exceptional analytical, negotiation, and problem-solving skills.
- Ability to work effectively in a fast-paced environment with shifting priorities.
- Excellent communication and writing skills
