The Role
As our North America Legal Counsel, you will play a critical role in overseeing the legal function for our North American business units. This includes reviewing U.S. and Canadian contracts, providing strategic legal counsel, and handling ad-hoc mergers and acquisitions tasks. The position demands a proactive lawyer with a strong background in contract management and some exposure to M&A, the ability to foster relationships across teams, and be adept at navigating the complexities of legal compliance within a rapidly growing portfolio of software companies.
Key Responsibilities
Contract Management & Compliance
Ensuring efficient negotiation, administration, and compliance for all contractual matters, including software licensing, NDAs, and sub-contractor agreements.
Act as the point of contact for contract-related inquiries, collaborating with internal teams to resolve contractual issues.
Review and approve contractual documents, ensuring alignment with organizational standards and business requirements.
M&A Due Diligence & Integration
Lead legal due diligence for North American acquisitions, drafting, negotiating, and reviewing key transaction documents, including purchase agreements and letters of intent.
Provide risk assessments and communicate potential legal implications of M&A activities to senior leadership.
Support post-close integration activities, ensuring seamless transitions and addressing legal integration requirements.
Strategic Legal Advisory
Serve as a strategic legal advisor to North American business units, ensuring alignment with Volaris' legal standards and compliance with U.S. regulations.
Collaborate closely with cross-functional teams (Sales, Finance, and Operations) to support business goals through effective legal guidance.
Stay informed on industry trends and regulatory changes, providing updates to leadership to proactively address emerging risks.
What You Bring
Educational & Professional Requirements
JD degree, or a Canadian LLL/LLB, with active bar admission in at least one U.S. or Canadian jurisdiction
Minimum of 5 years of experience in contract management, M&A, or corporate legal advisory, preferably in the software or technology sector.
